Terms of Service

ALEX (the "exchange") is a software platform that helps commercial landlords and tenants find each other, model space reconfigurations, exchange lease proposals, and prepare and execute lease documents. ALEX is not a real estate broker, not a law firm, not a lender, and not a party to any lease. Every lease formed on the exchange is a contract solely between the landlord and the tenant.

Cost models, market estimates, financial analyses, credit assessments, and generated documents are computational aids for negotiation, not appraisals, construction bids, credit decisions, or legal advice. Figures labeled as estimates are estimates. Each party should verify material facts and have documents reviewed by its own counsel before signing.

You are responsible for activity under your account. You agree not to post listings you lack the right to publish, claim buildings you do not own or represent, misrepresent your identity or financials, scrape the service, or interfere with other users' transactions. We may suspend accounts that do.

Public-record listings are assembled from government data and labeled as such; their rents are computed estimates and their availability is unconfirmed until an owner claims the listing. Ownership claims are reviewed before a claimant may manage a listing, and verified listings are marked. We may remove or correct any listing.

The exchange supports electronic execution of lease documents. By using the signing feature you consent to transact electronically under the U.S. ESIGN Act and applicable state law (including California's UETA), and you agree that your typed signature has the same effect as a handwritten one. Signature events are timestamped and recorded in the deal's audit trail. Either party may decline to sign electronically and conclude the transaction outside the exchange.

Certain features consume prepaid credits. Credit pricing is shown before purchase; credits are not refundable except where required by law, and are not deposits, escrow, rent, or security under any lease. ALEX charges no brokerage commission on transactions.

The service is provided "as is" without warranties of any kind. To the fullest extent permitted by law, our aggregate liability arising out of the service is limited to the amounts you paid us in the twelve months before the claim. We are not liable for the acts, omissions, solvency, or performance of any landlord, tenant, or vendor.

These terms are governed by California law. Disputes will be resolved in the state or federal courts located in Los Angeles County, California.

We may update these terms; material changes will be posted here with a new effective date. Continued use after a change is acceptance of the updated terms.
